Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and SavvyScan ("Company," "we," "our," or "us") regarding your use of the SavvyScan mobile application (the "App") on iOS devices.

Company Information: SavvyScan is operated by a Brazilian Micro Empresa (ME) under the Simples Nacional tax regime. While we are based in Brazil, the App is available exclusively to users in the United States, and we comply with all applicable U.S. laws and regulations.

Geographic Restriction: The App is only available for download and use in the United States. By using the App, you represent that you are located in the United States.

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

We reserve the right to modify these Terms at any time. We will notify you of material changes via the App or email. Your continued use after changes become effective constitutes acceptance of the revised Terms.

1. License to Use the App

1.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on iOS devices that you own or control, solely for your personal, non-commercial use.

1.2 License Restrictions and Prohibited Uses

You agree NOT to:

• Modify, adapt, translate, or create derivative works of the App
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the App for any illegal, fraudulent, or unauthorized purpose
• Use the App in violation of any applicable laws or regulations
• Rent, lease, lend, sell, redistribute, or sublicense the App
• Use the App to compete with or build a competitive product or service
• Use automated systems (bots, scrapers, robots) to access the App or collect data
• Interfere with or disrupt the App's functionality, servers, or networks
• Transmit viruses, malware, worms, Trojan horses, or other harmful code
• Attempt to gain unauthorized access to any part of the App, accounts, systems, or networks
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Harass, abuse, threaten, or intimidate other users
• Post or transmit spam, unsolicited messages, or unauthorized advertising
• Collect or harvest personal information from other users
• Use the App to violate the privacy, publicity, or intellectual property rights of others
• Engage in any activity that could damage, disable, overburden, or impair the App
• Use the App to manipulate prices, engage in price fixing, or create false demand
• Purchase products through your own Amazon Associates affiliate links to earn commissions
• Encourage others to purchase through your affiliate links in exchange for rebates, incentives, or other compensation
• Circumvent or disable any security features or technical protection measures
• Use the App in any manner that could expose us to liability or harm our reputation

1.3 Export Compliance

You agree not to export, re-export, or transfer the App to any country, person, or entity that is subject to U.S. export restrictions or embargoes. You represent that you are not located in, under the control of, or a national or resident of any such country or on any such list.

1.4 Apple App Store Terms

Your use of the App is also subject to the Apple Media Services Terms and Conditions and Apple's Usage Rules. If these Terms conflict with Apple's terms, Apple's terms control with respect to your use of the App.

2. Accounts and Registration

2.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities under your account

2.2 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent, abusive, or illegal activity, we are required to do so by law, or we discontinue the App or service. You may delete your account at any time through the App settings.

3. Subscriptions and Payments

3.1 Subscription Plans

SavvyScan offers both a free version and a Premium subscription:

• Free Plan: 10 scans per day, 1 tracked item on dashboard, Amazon price comparison, basic product information
• Premium Plan: $4.99/month or $39.99/year - Unlimited scans, 30 tracked items on dashboard, Amazon price comparison, ad-free experience, priority support

3.2 Payment Processing

All subscription purchases are processed through the Apple App Store and are subject to Apple's payment terms. We do not directly process payments or store your payment information.

3.3 Subscription Terms

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage or cancel your subscription through your Apple ID account settings
• Cancellations take effect at the end of the current billing period
• No refunds for partial periods if you cancel mid-cycle

3.4 Free Trial

Premium subscriptions may include a free trial period. You will be charged the subscription fee when the trial ends unless you cancel before the trial period expires. We reserve the right to limit free trial eligibility.

3.5 Refunds

All purchases are final and non-refundable except as required by law. For refund requests, contact Apple Support, as all payments are processed through the App Store. We do not control Apple's refund policies.

4. Product Information and Pricing

4.1 Information Accuracy

The App provides Amazon price comparison and product information obtained from third-party sources. While we strive for accuracy, we do not guarantee that all information is accurate, complete, current, or error-free.

PRODUCT PRICES AND AVAILABILITY ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. ALWAYS VERIFY PRODUCT DETAILS AND FINAL PRICES WITH THE RETAILER BEFORE MAKING A PURCHASE. SAVVYSCAN DOES NOT GUARANTEE SAVINGS ON EVERY PRODUCT.

4.2 No Purchase Guarantee

The App is an informational comparison tool. We do not sell products, fulfill orders, or guarantee product availability or pricing. We are not responsible for any purchases you make based on information from the App.

4.3 Third-Party Retailers

The App may provide links to Amazon and other third-party retailer websites. We are not responsible for the content, policies, or practices of third parties. Transactions with third parties are solely between you and that third party.

4.4 Amazon Associates Disclosure

SavvyScan is a participant in the Amazon Associates Program, an affiliate advertising program designed to provide a means for sites to earn advertising fees by advertising and linking to Amazon.com. As an Amazon Associate, we earn from qualifying purchases.

Affiliate Links: Links to Amazon products in the App may contain our affiliate tracking code. When you make a purchase through these links, we may receive a commission at no additional cost to you. This does not affect the price you pay or our product comparisons.

Prohibited Activities: You may not:

• Purchase products through your own affiliate links generated by the App
• Encourage friends, family, or employees to purchase through your links
• Offer rebates, incentives, or any form of compensation in exchange for purchases through affiliate links
• Manipulate, modify, or obscure affiliate links
• Use the App to generate affiliate revenue in violation of Amazon Associates Operating Agreement

5. Intellectual Property Rights

5.1 Ownership

The App and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio, video, data compilations, and the design, selection, and arrangement thereof) are owned by SavvyScan or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademarks

SavvyScan, the SavvyScan logo, and other marks used in the App are trademarks or registered trademarks of SavvyScan. You may not use these marks without our prior written permission.

Apple, iPhone, App Store, and related marks are trademarks of Apple Inc. Amazon and related marks are trademarks of Amazon.com, Inc. All other trademarks, service marks, and logos referenced in the App are the property of their respective owners.

5.3 DMCA Copyright Policy

We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the following information:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and where it is located in the App
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that use of the material is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA notices and may remove infringing content and/or terminate accounts of repeat infringers.

5.4 User Feedback

If you provide us with any feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation or compensation to you.

6. Disclaimers and Limitations of Liability

6.1 "AS IS" and "AS AVAILABLE"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAVVYSCAN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to indemnify, defend, and hold harmless SavvyScan and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of another person or entity, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any content or information you submit through the App
• Your willful misconduct, negligence, or fraud

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects us without our prior written consent.

8. Termination

8.1 Termination by You

You may stop using the App and delete your account at any time through the App settings or by contacting us at support@savvyscan.app.

8.2 Termination by Us

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable laws
• Fraudulent, abusive, or illegal activity
• Requests by law enforcement or government agencies
• Extended periods of inactivity
• Technical or security issues
• Discontinuation or material modification of the App

8.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• Your account and associated data may be deleted (subject to legal obligations)
• All licenses granted to you will terminate
• Any outstanding subscription fees remain due and payable
• Provisions that by their nature should survive termination will survive (including indemnification, limitations of liability, dispute resolution, and intellectual property rights)

9. Dispute Resolution

9.1 Informal Resolution

Before filing a formal claim, you agree to contact us at support@savvyscan.app and provide a detailed description of the dispute. We will attempt to resolve any dispute informally within 60 days. This informal dispute resolution is a prerequisite to any formal legal action.

9.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

If we cannot resolve a dispute informally, you and SavvyScan agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved by binding arbitration, rather than in court, except that:

• You may assert claims in small claims court if your claims qualify; and
• You or we may seek equitable relief in court for infringement or misuse of intellectual property rights

Arbitration Rules: The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The AAA's rules and filing instructions are available at www.adr.org or by calling 1-800-778-7879.

Arbitration Process:

• The arbitration will be conducted by a single, neutral arbitrator
• The arbitrator's decision will be final and binding
• The arbitrator can award the same damages and relief as a court
• The arbitration will take place in the United States
• For claims under $10,000, you may choose whether the arbitration is conducted by telephone, based on written submissions, or in person

Arbitration Fees: Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. If your claim is for less than $10,000, we will reimburse you for filing fees and pay all administration and arbitrator fees.

9.3 Class Action Waiver

YOU AND SAVVYSCAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING.

Unless both you and SavvyScan agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative, class, or collective proceeding.

Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@savvyscan.app within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you want to opt out of this arbitration agreement. If you opt out, all other provisions of these Terms will still apply, but you and we will not be bound by this arbitration agreement.

9.4 Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or the App shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Delaware law is chosen because it provides clarity and predictability for commercial relationships, regardless of where the company is domiciled.

If the arbitration agreement in Section 9.2 is found to be unenforceable or if you opt out of arbitration, you agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts with appropriate jurisdiction, and you consent to personal jurisdiction in those courts.

9.5 Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to these Terms or the App must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred, regardless of any statute or law to the contrary.

10. Apple-Specific Terms

Because the App is available through the Apple App Store, you acknowledge and agree to the following Apple-specific terms:

• These Terms are between you and SavvyScan only, not Apple, and Apple is not responsible for the App or its content
• Apple has no obligation to provide maintenance or support services for the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the App. TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPLE HAS NO OTHER WARRANTY OBLIGATION WITH RESPECT TO THE APP
• Apple is not responsible for addressing any claims by you or third parties relating to the App or your possession or use of the App, including product liability claims, consumer protection claims, intellectual property claims, or claims that the App fails to conform to legal requirements
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, SavvyScan (not Apple) will be solely responsible for investigation, defense, settlement, and discharge of such claim
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary
• You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties
• You must comply with applicable third-party terms of agreement when using the App (such as your wireless data service agreement)

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and SavvyScan regarding the App and supersede all prior agreements, understandings, and communications, whether written or oral.

11.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

11.3 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of SavvyScan.

11.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction. Any attempted assignment in violation of this section is void.

11.5 Force Majeure

We will not be liable for any delay or failure to perform our obligations under these Terms if the delay or failure is due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

11.6 Notices

We may provide notices to you via email to the address associated with your account, through in-app notifications, or by posting on our website. You are responsible for keeping your email address current. Notices sent by email will be deemed given 24 hours after the email is sent, unless we receive notice that the email was not delivered.

You may provide notices to us at support@savvyscan.app or by mail to the address provided below.

11.7 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and SavvyScan. You have no authority to bind SavvyScan in any manner.

11.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

12. Updates to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes, we will notify you by:

• Posting a notice in the App
• Sending an email to the address associated with your account
• Updating the "Last Updated" date at the top of these Terms

Material changes will become effective 30 days after notice is provided, except for changes required by law, which will be effective immediately. Your continued use of the App after the effective date constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the App and delete your account.

Acknowledgment and Acceptance

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE APP.
